HSA Special General Meeting - Sydney

Before making any changes to the constitution, we are legally bound to hold a Special General Meeting to pass/reject any Special Resolutions to change the constitution. Each Special Resolution must be passed by a quorum of members.

Even though the HSA is approved to operate in each state, it must apply to each state individually for approval to conduct fundraising activities. We currently have an application in progress with Fair Trading Queensland. Before this application can advance further, Fair Trading Queensland have advised they require four items from the HSA:

1. The constitution must contain a non-profit clause such as:

The income and property of the association must be applied solely in promotion of its objects and not distributed to its members nor dividends be paid to members.

2. Even though our registration with the Australian Charities and Not-for-Profits Commission stipulates our financial year is 1 January to 31 December in each year, Fair Trading Queensland requires a clause be inserted into our constitution along the lines of:

The end date of the association’s financial year is 31 December in each year.

3. The name of an existing/proposed separate bank account for receipt of appeal funds

4. Advice on the proportion of funds raised in Queensland which will be allocated for use in that state.

Before making any changes to the constitution, we are legally bound to hold a Special General Meeting to pass/reject any Special Resolutions to change the constitution. Each Special Resolution must be passed by a quorum of members. Members must be given a minimum of 21 days’ notice of the Special General Meeting. Please note the meeting agenda, including additional information, is attached.

If the Special Resolutions are passed, the constitution will be amended as agreed, a printout signed by two committee members to show it is a genuine copy and a copy of the signed document forwarded to Fair Trading Queensland along with answers to items 3 and 4 above. Another copy of the amended constitution will be submitted to Fair Trading NSW for registration.
